Commercial & Business Litigation

Contract disputes, partner disagreements, and fraud allegations aren’t just setbacks, they are legal challenges that demand swift, strategic action. Left unresolved, they drain resources and strain business relationships.

Our firm handles all types of contract disputes. That includes both enforcing agreements and challenging their validity. We also represent clients in partnership and shareholder conflicts, restrictive covenant issues, and claims of fraud or misrepresentation. In addition, we handle trade secret and privacy disputes, business torts, and regulatory enforcement actions. In every matter, we move quickly to assess the facts, identify leverage, and pursue the outcome that best protects your business.

Financial Services & Securities Litigation

For financial services professionals, disputes aren’t just about money; they affect licenses, careers, and futures. A single U5 disclosure, arbitration claim, or regulatory inquiry can restrict opportunities for years.

Chemere Ellis, PLLC defends broker-dealers and their registered representatives in FINRA arbitrations, Form U5 disputes, Rule 8210 requests, SEC inquiries, and investor claims. We know what’s at stake and craft strategies that protect both your reputation and your long-term career.

Frequently Asked Questions

A business litigation lawyer in Tampa, FL represents companies and professionals when legal disputes threaten their operations, finances, or reputation. At Chemere Ellis, PLLC, that means handling contract disputes, shareholder disputes, partnership disputes, fraud claims, and business torts across Florida’s courts and arbitration forums. Florida businesses face a uniquely competitive and regulated environment, and disputes can move fast. The firm provides direct, strategic representation from the moment a conflict surfaces, building a clear plan to protect your position and pursue the outcome that best serves your business under Florida law.

Civil litigation in Florida covers any non-criminal legal dispute between parties, whether individuals, companies, or organizations. Commercial litigation is a focused subset that deals specifically with disputes arising in a business context. Florida courts regularly handle commercial litigation matters involving contract disputes, business fraud, trade secret violations, and business torts. At Chemere Ellis, PLLC, the firm concentrates exclusively on commercial and business disputes, bringing a deep understanding of Florida business law, court procedures, and the financial stakes that companies and professionals face when conflicts arise in the marketplace.

Florida business owners should contact a business litigation lawyer in Tampa, FL as soon as a dispute begins to take shape. Acting early preserves critical evidence, protects filing deadlines under Florida law, and strengthens your negotiating position before the other side gains an advantage. Whether the matter involves a contract dispute with a vendor, a partnership dispute among co-owners, or a shareholder dispute over company control, delay often costs leverage. Florida law also requires that corporations, LLCs, and partnerships be represented by a licensed attorney in court, making early legal counsel at Chemere Ellis, PLLC essential.

Florida business formation decisions have a direct impact on how disputes play out in court. Vague operating agreements, unclear ownership structures, and poorly drafted governance provisions are among the most common causes of partnership disputes and shareholder disputes in Florida. While Chemere Ellis, PLLC is a litigation firm, it advises business owners on the legal risks tied to their formation choices and helps ensure foundational documents provide enforceable protections under Florida law. A stronger legal foundation from the start means fewer vulnerabilities and a cleaner path forward when business disputes inevitably arise.

Outside general counsel is an attorney or law firm that serves as a Florida company’s primary legal advisor without being a full-time employee. For businesses operating in Tampa and across Florida, this arrangement provides ongoing access to experienced legal guidance on contracts, risk exposure, and regulatory matters. Engaging a business litigation lawyer in Tampa, FL in a general counsel capacity means having a trusted advisor who understands your operations before a business dispute erupts. Chemere Ellis, PLLC provides the direct attention and strategic clarity that Florida businesses need to stay legally protected as they grow and evolve.

Florida law provides several avenues for resolving shareholder disputes and partnership disputes, including negotiation, mediation, arbitration, and courtroom litigation. The path forward often depends on what the governing documents require and the nature of the conflict. Florida courts take business disputes seriously, and the outcome of these cases can affect ownership rights, financial distributions, and the future of the company itself. At Chemere Ellis, PLLC, every matter begins with a thorough review of all agreements and facts under Florida law. The firm is prepared to negotiate when appropriate and take cases to trial when necessary.

Yes. Florida’s active real estate market creates frequent opportunities for disputes to arise from a real estate transaction, including breaches of purchase agreements, misrepresentation claims, title issues, and commercial lease conflicts. These matters fall within the firm’s civil litigation and commercial litigation practice and are treated with the same strategic and trial ready approach applied to all business disputes. Florida real estate transaction conflicts can put significant financial investments and business operations at risk. Chemere Ellis, PLLC works to resolve these matters efficiently while aggressively protecting clients’ legal and financial interests throughout Florida.
